These Terms of Use (“Terms”) govern your access to and use of the websites elenix.health, elenixhealth.com, and any related subdomains, content, functionality, features, communications, and services that link to these Terms (collectively, the “Site”).
The Site is owned and operated by Elenix, also referred to as Elenix Health (“Elenix,” “Company,” “we,” “us,” or “our”).
By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

We may disable any account, username, or password at our discretion if we believe these Terms have been violated or a security risk exists.

9. Intellectual Property
The Site and all content on it, including text, graphics, logos, icons, images, videos, audio, software, downloads, layout, design, arrangement, and branding elements, are owned by Elenix, Elenix Health, or our licensors and are protected by intellectual property and other applicable laws.
Except as expressly permitted in these Terms, you may not reproduce, distribute, modify, display, publish, transmit, create derivative works from, license, sell, or otherwise exploit any part of the Site without our prior written consent.
All rights not expressly granted are reserved.
10. Trademarks
Elenix and Elenix Health, and related names, logos, slogans, and branding elements, may be our trademarks, whether registered or unregistered. You may not use them without our prior written consent in any way likely to cause confusion or imply affiliation, sponsorship, or endorsement.
11. Third-Party Links and Services
The Site may contain links to third-party websites, tools, platforms, scheduling services, payment processors, telehealth providers, analytics vendors, social media platforms, or other resources.
These are provided for convenience only. We do not control and are not responsible for third-party content, services, privacy practices, availability, or terms. Your use of third-party services is at your own risk and governed by their own terms and policies.
12. Health and Service Limitations
You agree not to use the Site:
to obtain emergency or crisis care;
to self-diagnose or self-treat solely based on Site content;
to transmit sensitive health or confidential information through non-secure channels unless we specifically direct you to do so;
to rely on public website content as a substitute for individualized advice from a qualified professional.
13. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, AND FUNCTIONALITY ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

WE DO NOT WARRANT THAT THE SITE WILL BE SECURE, UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELENIX, ELENIX HEALTH, AND OUR OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PORTIONS OF THIS SECTION MAY NOT APPLY TO YOU.
15. Indemnification
You agree to defend, indemnify, and hold harmless Elenix, Elenix Health, and our affiliates, owners, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
your violation of these Terms;
your misuse of the Site;
your infringement of another person’s rights; or
your unlawful content or conduct.
16. Informal Dispute Resolution
Before initiating arbitration, you and Elenix agree to make a good-faith effort to resolve any dispute informally. A party that intends to pursue a claim must first send written notice describing the dispute and the requested relief.

If the dispute is not resolved within 30 days after notice is received, either party may initiate arbitration as described below.
17. Agreement to Arbitrate
Please read this section carefully. It affects your legal rights.
Except to the extent prohibited by law, you and Elenix agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Site shall be resolved by binding individual arbitration rather than in court.
This arbitration agreement is intended to be broadly interpreted and governed by the Federal Arbitration Act, to the extent applicable.
The arbitration will be administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules in effect at the time the claim is filed. AAA publishes its consumer rules, forms, fees, and clause-registry information.
Arbitration may be conducted:
on the papers;
by video conference or telephone;
in person, if required by the applicable AAA rules or the arbitrator.
If an in-person hearing is required, it shall take place in California unless the parties agree otherwise or applicable rules require a different arrangement.
The arbitrator shall have exclusive authority to resolve disputes concerning the interpretation, applicability, enforceability, or formation of this arbitration provision, except where prohibited by law.
18. Class Action Waiver
To the maximum extent permitted by law, you and Elenix agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, consolidated, coordinated, representative, or private attorney general proceeding.
Unless both you and Elenix agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding.
If this class action waiver is found unenforceable for a particular claim, then that claim shall proceed only to the extent required by law, and the remainder of this arbitration agreement shall remain in effect to the fullest extent permitted by law.
19. Injunctive Relief
Nothing in these Terms prevents Elenix from seeking temporary, preliminary, or permanent injunctive or equitable relief in a court of competent jurisdiction for alleged misuse of intellectual property, unauthorized access, data-security abuse, or similar conduct for which equitable relief may be appropriate.
20. Governing Law
These Terms and any dispute arising out of or relating to the Site shall be governed by the laws of the State of California, without regard to conflict-of-law rules, except to the extent preempted by federal law, including the Federal Arbitration Act where applicable.

25. Severability
If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
If any portion of the arbitration provisions is found unenforceable, that portion shall be enforced to the maximum extent permitted by law, and the remaining portions shall remain in effect unless the law requires otherwise.
26. Entire Agreement
These Terms, together with our Privacy Policy and any other policies or legal notices expressly incorporated by reference, constitute the entire agreement between you and Elenix regarding the Site.
